The Registrant is offering its common stock, par value $.015 per share (the "Common Stock") for registration under Section 12(g) of The Securities Exchange Act of 1934. As of October 1, 1996, the Registrant had issued and outstanding 5,883,883 shares of common stock with a total of 20 million shares authorized. The holders of Common Stock are entitled to one vote for each share held of record on all matters to be voted on by shareholders. There is no cumulative voting with respect to the election of directors, with the result that the holders of more than 50% of the shares voted can elect all of the directors then being elected.
